Ontario’s franchise disclosure laws require franchisors to provide prospective franchisees with a disclosure document at least 14 days before the signing of the franchise agreement. The disclosure document must contain specific information about the franchise system, the franchisor’s financial statements, and the franchise agreement.
You can protect your intellectual property by registering trademarks, copyrights, and patents, and including provisions in the franchise agreement that require franchisees to use and maintain your intellectual property in accordance with your standards.
The key provisions that should be included in a franchise agreement include the territory, term of the agreement, initial franchise fee, ongoing royalties and fees, marketing requirements, training and support, termination and renewal provisions, and dispute resolution procedures.
You can terminate a franchise agreement in Ontario for cause or without cause. If terminating for cause, you must provide written notice to the franchisee outlining the reasons for termination. If terminating without cause, you must provide written notice to the franchisee in accordance with the notice provisions in the franchise agreement.
